Constitution for the New York Technical Services Librarians (NYTSL)

Article 1. Name and Object

1. This group shall be called the New York Technical Services Librarians (henceforth, NYTSL).

2. Its object shall be to provide an opportunity for technical services librarians in the New York metropolitan area to meet to exchange ideas, to discuss problems, and to keep in touch with movements in the field of technical services. Its activities shall consist of conducting public discussion groups, forums, panels, lectures or other similar education programs. As an organizational member of the Association for Library Collections &Technical Services, a division of the American Library Association, NYTSL shall contribute to and participate in the Council of Regional Groups.

Article 2. Membership

There shall be two types of membership: Personal and Corporate. Any person or corporation engaged or interested in the field of technical services may become a member of NYTSL on payment of dues.

Article 3. Dues

The annual dues, which shall be determined by the Board, shall be payable before the first meeting in the Fall. Those members whose dues have not been paid for two years may be dropped from membership.

Article 4. Elected Officers

1. The elected officers shall consist of a President, Vice-President, Secretary and Treasurer. They shall be chosen by ballot before the Spring meeting. The term of office shall be from July 1 to June 30.

2. The President shall supervise the affairs of the group, shall appoint committee chairs, and shall preside at meetings. The Vice-President shall be President-elect and shall succeed to the Presidency. The Secretary shall record the proceedings of the meetings and report on same to library publications. The Treasurer shall receive the dues of the members and pay all bills incurred by the group.

Article 5. The Board

The Board shall consist of the elected officers plus committee chairs, as appointed by the President. The appointed chairs shall also serve from July 1 to June 30.

Article 6. Meetings

Meetings may be called at the discretion of the President, but there shall not be less than two meetings a year.

Article 7. Amendments

These rules may be amended by a majority vote of the membership either present at a regular meeting, or responding to an electronic or mail ballot. Electronic votes shall be authorized and conducted according to the NYTSL by-laws.

Amendments to the Constitution

Amendment I. Dissolution Provision

In the event of dissolution, al the remaining assets and property of the New York Technical Services Librarians shall after necessary expenses thereof be distributed to such organizations as shall qualify under section 501 (c)(3) of the Internal Revenue Code, or corresponding provisions of any subsequent Federal Tax Laws; or to the federal government, or to a state of local government; for a public purpose.

Amendment II. Non-Inurement Provision

No part of the net earnings of the New York Technical Services Librarians shall inure to the benefit of any member, trustee, director, officer of the organization, or any private individual (except that reasonable compensation may be paid for services rendered to or for the organization), and no member, trustee, officer of the organization or any private individual shall be entitled to share in the distribution of any assets on dissolution of the organization.

Amendment III. Restrictive Legislation Provision

No substantial part of the activities of the New York Technical Services Librarians shall be carrying on propaganda, or otherwise attempting to influence legislation (except as otherwise provided by Internal Revenue Code section 501 (h) or participating in, or intervening in (including the publication of distribution of statements), any political campaign on behalf of any candidate for public office.

Amendment IV. Restrictive Purposes and Activities Provision

Notwithstanding any other provision of these articles, the New York Technical Services Librarians is organized solely for educational purposes as specified in section 501 (c)(3) of the Internal Revenue Code of 1954, and shall not carry on any activities not permitted to be carried on by an organization exempt from Federal income tax under section 501 (c)(3) or corresponding provisions of any subsequent Federal tax laws.

Amendment V. Terms of Appointed Chairs

Chairs appointed by the President and serving on the Board shall serve for terms of two years, beginning July 1st and ending June 30th two years later. Each year, the President will be responsible for appointing half of the Appointed Chairs serving on the Board, creating staggered terms for these members. Appointed Chairs may be reappointed at the pleasure of the President.

Amendment VI. Members-at-large

Two members-at-large shall sit on the NYTSL Board with full voting privileges. Members-at-large shall be included on the ballot for officers serving for terms of two years beginning July 1st and ending June 30th two years later.
